M&a Manager – Human Resources Due Diligence

What will your typical day look like?

You will serve as a trusted advisor on HR-related matters to clients in both the corporate and private equity space. You will bring a strategic point of view, structured problem solving, great consulting skills and disciplined planning capabilities. Your specific responsibilities will include: Perform HR due diligence (some or all of organisation analysis, reward & benefits review, workforce analysis, and culture analysis) identifying and quantifying transaction opportunities and risk Lead engagement and discussions with Target company HR and Finance leadership Help clients understand how to protect and amplify the human capital associated with the transaction Provide recommendations on how to ensure a successful employee transition for Day 1 and beyond, both avoiding and navigating roadblocks Coordinate findings with other diligence teams at Deloitte, the Client, and external advisors, including accounting, tax, information technology, and legal Contribute to practice and business development activities e.g. through the development of thought leadership material and/or sales materials Coach junior staff to conduct insightful analysis and develop recommendations About the teamThe Mergers & Acquisitions Consulting Services (MACS) offering portfolio pairs leading acquisition and divestiture experience with broad global scale and industry and functional depth. Our Human Resources (HR) due diligence and M&A team support our clients to navigate major transformative transactions, ensuring the organisation’s human capital value is maximised and preserved. Our approach to due diligence and M&A support focuses on how they can leverage their leadership, talent, culture, processes and systems to maximise the value from an acquisition or a divestment and identify and manage people-related risks. Our team works across all aspects of the M&A lifecycle including: Support HR due diligence and post-deal integration / separation activities for private equity and corporate clients Review key HR-related documents (e.g. employee census data, employee agreements, engagement surveys) to draw insights about the target organisation’s human capital Complete analysis including employee baselining and cost analysis, organisational and workforce analysis, reward and benefit analysis and cultural analysis Facilitate interviews and engagement with Target management team Collaborate across internal and external stakeholders, including other Deloitte diligence workstreams, legal counsel, investment banks, and Client’s HR leadership Prepare and deliver report findings including insightful recommendations Enough about us, let’s talk about you.You are someone with: Bachelor’s degree or post graduate qualification (e.g. CA / CFA / MBA) 3+ years advisory/consulting experience, ideally from a Big 4, strategy or boutique consulting firm OR the internal strategy function or HR function of a large corporate – this is provided as a guidance only, please don’t let it limit you, if you feel you have something to add to our team Natural aptitude to problem solving and structured thinking, including framing issues and breaking them down into discrete components to be analysed Experience with the broader deal-oriented process and environment Excellent analytical skills Articulate communication and confident presentation skills Strong oral and written communication skills, including presentation skills (MS PowerPoint). Ability to apply practical experience with communications, culture, and change management. Pragmatic commercial acumen – able to identify risks and develop solutions to manage those risks Managing cross-functional teams to deliver engagements across all of phases of the M&A lifecycle including due-diligence, pre-close and post-merger integration. Demonstrated ability working in a fast-paced environment and willingness to deal with ambiguity and change Experience with project management – specifically, planning, overseeing and leading projects to completion Experience with staff development and eagerness to mentor junior practitioners Ability to travel based on the work you do and the clients and industries/sectors you serve
